Terms of Service

1. Acceptance of Terms

By accessing or using Martech Stack Builder ("the Service"), operated by Martech Therapy ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on the Service or sending an email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Martech Stack Builder is a web-based application that allows users to design, visualize, and share marketing technology architecture diagrams. The Service includes:

  • Drag-and-drop diagram creation
  • AI-powered diagram generation
  • Cloud storage for diagrams
  • Sharing and collaboration features
  • Export capabilities

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activity.

4. Subscription Plans and Payment

4.1 Free Plan

The free plan provides limited access to the Service with restrictions on cloud saves, AI generations, and certain features.

4.2 Paid Plans

Paid plans (Pro, Team) provide expanded access and additional features. By subscribing to a paid plan, you agree to:

  • Pay the applicable fees as displayed at checkout
  • Provide accurate billing information
  • Authorize recurring charges until you cancel

4.3 Billing

Subscriptions are billed in advance on a monthly or annual basis. Prices are subject to change with 30 days notice. Payment processing is handled by Stripe.

4.4 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • You retain access until the end of your current billing period
  • No refunds are provided for partial periods
  • Your account reverts to the free plan

5. User Content

5.1 Ownership

You retain ownership of all content you create using the Service ("User Content"), including diagrams, configurations, and annotations.

5.2 License to Us

By using the Service, you grant us a limited license to store, display, and process your User Content solely for the purpose of providing the Service. We do not claim ownership of your User Content.

5.3 Your Responsibilities

You are responsible for ensuring your User Content:

  • Does not infringe any third-party intellectual property rights
  • Does not contain malicious code or harmful content
  • Complies with applicable laws and regulations

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service
  • Upload viruses, malware, or malicious code
  • Scrape, crawl, or use automated tools to access the Service without permission
  • Resell or redistribute the Service without authorization
  • Harass, abuse, or harm other users
  • Impersonate others or misrepresent your affiliation

7. Intellectual Property

The Service, including its design, features, code, and content (excluding User Content), is owned by Martech Therapy and protected by intellectual property laws.

"Martech Stack Builder," "Martech Therapy," and associated logos are trademarks of Martech Therapy. You may not use these marks without our prior written consent.

8. Third-Party Services

The Service integrates with third-party services (Google, Stripe, etc.). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any information provided through the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARTECH THERAPY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Martech Therapy and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your User Content after a reasonable period
  • Provisions that should survive termination will remain in effect

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Martech Therapy is established, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
